Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you (the account holder and your business) and [Your Company Name] governing your access to and use of WapBizSuite. By creating an account or using the service, you agree to be bound by these Terms.

Acceptance of Terms

By accessing or using WapBizSuite (the "Service"), creating an account, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, our Acceptable Use Policy, and any other policies incorporated herein by reference.

If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service.

Description of Service

WapBizSuite is a software-as-a-service (SaaS) platform that provides businesses with tools to automate WhatsApp Business communications, including order notifications, customer support messaging, broadcast campaigns, and two-way conversational messaging through integration with the Meta WhatsApp Business Cloud API.

Use of WapBizSuite requires an active and approved Meta WhatsApp Business Account (WABA). You are responsible for obtaining, maintaining, and complying with your WABA and Meta's associated terms and policies independently of WapBizSuite.

You acknowledge and agree that:

  • All WhatsApp API usage charges levied by Meta are your sole responsibility — WapBizSuite does not cover Meta API conversation costs
  • The availability and features of the WhatsApp Business API are controlled by Meta and may change at any time
  • WapBizSuite acts as a facilitator; we are not affiliated with or endorsed by Meta Platforms, Inc.

Account Registration

To use WapBizSuite you must register for an account. By registering, you agree to:

  • Provide accurate, current, and complete information during registration and keep it updated
  • Maintain one account per business entity, unless you are subscribed to an agency or multi-business plan
  • Keep your login credentials confidential and not share them with unauthorised parties
  • Be solely responsible for all activity that occurs under your account
  • Notify us immediately at [contact@yourdomain.com] if you suspect unauthorised access to your account

You must be at least 18 years old and legally authorised to enter into binding contracts on behalf of your business. Accounts registered with false information may be suspended or terminated without notice.

WhatsApp Platform Compliance

CRITICAL
Important: Your use of WapBizSuite to send messages through the WhatsApp platform is subject to Meta's WhatsApp Business Policy. Violations of Meta's policies can result in your WhatsApp Business Account being permanently suspended by Meta — this is entirely outside our control and does not entitle you to a refund.

By using WapBizSuite, you agree to:

  • Comply fully and at all times with Meta's WhatsApp Business Policy, WhatsApp Commerce Policy, and all applicable Meta terms
  • Not send unsolicited messages, spam, or bulk promotional messages to contacts who have not explicitly opted in to receive WhatsApp communications from your business
  • Obtain and document proper, verifiable consent from each message recipient before sending marketing or promotional messages
  • Only use message templates that have been reviewed and approved by Meta prior to sending
  • Honour all opt-out requests immediately and permanently — our platform processes STOP/UNSUBSCRIBE keywords automatically, but you remain responsible for honouring opt-outs across all channels
  • Not use the Service to send messages that violate any applicable law, including anti-spam regulations such as the CAN-SPAM Act, CASL, and the EU ePrivacy Directive

We reserve the right to suspend or terminate any account that we reasonably believe is in violation of WhatsApp's policies or applicable law, without prior notice where necessary to protect the platform or comply with Meta's requirements.

Acceptable Use

Your use of WapBizSuite is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy sets out the specific behaviours, content types, and activities that are permitted and prohibited on the platform.

Any violation of the Acceptable Use Policy is also a violation of these Terms and may result in the suspension or termination of your account.

Subscription and Payments

WapBizSuite is offered on a subscription basis. By subscribing, you agree to the following:

  • Plans and pricing: the features and pricing for each subscription tier are as described on our website at [yourdomain.com] at the time of subscription
  • Billing cycle: subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select
  • No refunds for partial periods: we do not provide refunds for partial months or partial years. If you downgrade or cancel mid-cycle, you retain access until the end of the paid period.
  • Payment failure: if a payment fails, we will attempt to notify you. Your account will be suspended after a 7-day grace period if payment remains outstanding. Continued non-payment may result in account termination and data deletion after 30 days.
  • Price changes: we reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price increases via email. Continued use after the effective date constitutes acceptance of the new pricing.
  • Taxes: prices are exclusive of applicable taxes (VAT, GST, sales tax). You are responsible for all applicable taxes in your jurisdiction.

Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. For customers subject to GDPR, our Data Processing Agreement (DPA) also applies and is incorporated into these Terms.

You own all data you upload to or generate using WapBizSuite, including your contact lists, message history, and store data. You grant us a limited licence to process, store, and transmit that data solely for the purpose of providing the Service to you.

We act as a data processor for your customers' personal data. You remain the data controller and are responsible for ensuring you have a lawful basis for processing your customers' data and for complying with all applicable data protection laws.

Intellectual Property

[Your Company Name] owns and retains all rights, title, and interest in and to WapBizSuite, including the software, user interface, documentation, trade marks, and all related intellectual property. Nothing in these Terms grants you any right to use our trade marks, logos, or brand features.

You retain full ownership of your content and data — your message templates, contact lists, store configurations, and any other data you upload or create within the platform. We do not claim any ownership rights over your content.

You may not copy, modify, distribute, sell, or create derivative works of WapBizSuite or any part of it. You may not reverse-engineer, decompile, or disassemble the software.

Limitation of Liability

WapBizSuite is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted operation.

To the maximum extent permitted by applicable law, [Your Company Name] shall not be liable for:

  • Outages, disruptions, or changes to the Meta WhatsApp Business API that affect message delivery
  • WhatsApp message delivery failures, delays, or filtering by Meta
  • Suspension or termination of your WhatsApp Business Account by Meta
  • Interruptions to Shopify, WooCommerce, or other third-party integrations
  • Data loss resulting from third-party infrastructure failures
  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, goodwill, or business opportunity

In any event, our maximum aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total subscription fees you paid to us during the 3 months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless [Your Company Name], its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service or violation of these Terms
  • Messages you send through WapBizSuite, including any claims by recipients of those messages
  • Your violation of Meta's WhatsApp Business Policy or any other third-party terms
  • Your violation of any applicable law or regulation, including data protection and anti-spam laws
  • Any claims by your customers or third parties arising from your business practices or communications
  • Any data or content you upload to or transmit through the Service

Termination

Termination by you: You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation, your account will remain active until the end of the current billing period. No refund is issued for the remaining portion of the period.

Termination by us: We may suspend or terminate your account with reasonable written notice for material breach of these Terms. For serious violations — including spam, illegal activity, or WhatsApp policy violations that put the platform at risk — we may terminate immediately without prior notice.

Data after termination: Following termination, you may request an export of your data within 30 days. After 30 days, your data will be scheduled for deletion in accordance with our data retention policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].

Your continued use of WapBizSuite after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service before the effective date.
